The Firm’s energy and natural resources lawyers work in a number of areas and industries. Our clients are diverse. We represent public companies, developers, independent oil and gas companies, entrepreneurs, U.S., offshore, and multinational mining companies, ski area operators and owners, pipelines, utilities, and renewable energy developers. In the energy field, Firm lawyers deal effectively with energy law and regulation, including utility regulation and power purchase agreements.

Traditional Energy. Firm lawyers have expertise and experience with energy law and regulation. We have extensive experience representing clients in proceedings before the state public utilities commission including matters involving rate making, resource planning, CPCNs to construct major transmission and generation resources, and demand-side management. Firm lawyers have negotiated and drafted major power purchase agreements, and have handled major asset purchases, financings, interconnection agreements, and co-generation matters for our clients involved in the energy industry.

Renewable Energy. Firm lawyers are regularly involved with wind power, geothermal leasing and development, solar energy, and land-fill gas. We counsel clients with regard to entity formation, management agreements, incentive plans, raising capital, mergers and acquisitions. We assist our clients with financing options including private placements, project finance, mezzanine finance, private equity, venture capital, volumetric production payments and conventional loans.

We have expertise in all facets of oil and gas exploration including complex farmout, seismic option, acreage contribution, exploration, participation, pooling, operating, unit, development and data-sharing agreements. Our experience includes federal, state and tribal leasing, as well as international concessions and production sharing contracts. We represent clients with respect to exploratory, secondary and tertiary recovery units, gathering systems, processing plants, pipelines, natural gas storage plants, refineries and gas stations. Our attorneys advise our oil and gas clients with regard to leasing, permitting, surface access, multiple mineral development, environmental, operational, royalty and accounting issues. Our litigators represent our clients before state and federal administrative agencies, state and federal trial and appellate courts, as well as mediation and arbitration panels. We have a multi-disciplinary approach with expertise in corporate, partnership, tax, public lands, environmental, regulatory, creditor’s rights and civil litigation.

Mining. The Firm represents both domestic and international mining companies in a broad variety of transactions. We have extensive experience in mergers and acquisitions and mining joint ventures. We draft, negotiate and advise clients with respect to virtually every type of agreement utilized in the mining industry, including purchase and sale agreements, joint ventures, options, exploration agreements, management agreements, contract mining agreements, royalties, consulting agreements, milling, smelting and refining agreements and related contracts. We also have significant experience with respect to secured and unsecured financing, including project loans, revolving credit facilities, inventory and machinery financing and gold and silver loans. In connection with mergers and acquisitions, we conduct due diligence investigations, advise clients with respect to the structuring of transactions and draft and negotiate transaction documents.

We have worked on complex resource transactions both in the United States and throughout the world. We have worked on mining projects and transactions in most of the countries in Latin America and in certain countries in Europe, Africa and Asia. As a result, we possess considerable expertise with respect to the structuring of international mining transactions.

We counsel our clients with respect to state and federal mining laws and related areas of the law, such as public land, water and environmental law. The firm represents our mining clients before administrative agencies and tribunals, including the Interior Board of Land Appeals and in state and federal court.
The firm has been deeply involved with the resolution of conflicts between the developers of competing resources in the same lands, particularly conflicts that arise between coal and oil and gas operations.

Federal Lands. The Firm provides permitting, regulatory, and litigation counsel on issues involving public lands, including lands managed by the Department of the Interior, Bureau of Land Management, and Forest Service. We advise a range of clients on federal lands issues, including renewable energy developers, oil and gas companies, mining companies, ski areas, and individuals. We help clients acquire, perfect, develop, defend, and dispose of interests in federal lands, including minerals and energy resources, resort special use permits, rights-of-way, leases, land exchanges, and other issues. The Firm has significant experience with federal land use planning, the preparation and defense of environmental review documents under the National Environmental Policy Act, and the laws applicable to federal lands.

Ski Area and Resort Development. We advise ski area operators and owners on the acquisition, development, financing, and operation of ski areas on Forest Service lands under special use permits. Our lawyers provide counsel and handle disputes involving Forest Service special use permit terms and regulations, Forest Service ski area development decisions, land exchanges, ski area terrain expansions and development, wildlife regulation, snowmaking, environmental review under the National Environmental Policy Act, and federal land use planning and ski area development.

Natural Resources Litigation. The Firm has represented clients in litigation and arbitration involving mineral leases, energy and natural resource supply agreements, operating agreements, joint venture agreements, mineral royalties, trade secrets, oil and gas development rights, environmental liabilities, toxic torts, mineral rights, surface damages, federal lands development, environmental review, and contract claims.
