Michael Kelly has broad and deep experience in a variety of business and commercial law matters acquired over many years of practice, including acquisitions and dispositions of businesses (asset and equity transactions), debt and equity financings (representing borrowers/issuers and lenders/investors), winding up of businesses, joint ventures, mergers and other business combinations, entity conversions, and general contract advice.  Mr. Kelly also counsels individuals and businesses on various entity formation and governance issues.

Mr. Kelly has worked with clients in many types of businesses, including oil and gas, medical practice groups, database management, HVAC and mechanical services, wireless devices, commercial lending, building products and services, medical devices, fitness and health care services, digital advertising, technology services and devices, automobile dealerships, and commercial real estate.

Many clients regard Mr. Kelly as their “general counsel,” who provides advice on a variety of general business law matters and brings in specialists in tax and other areas as and when needed in connection with a particular transaction or matter.  Mr. Kelly has also served as local Colorado counsel on multi-jurisdictional transactions.

Prior to law school, Mr. Kelly worked as an in-house auditor at a Fortune-100 corporation and obtained an advanced degree in accounting. That experience and training makes him particularly well-suited to provide business law advice.

Outside the office, Mr. Kelly is an avid tennis player and downhill skier.  He has been a captain of USTA league tennis teams for many years.  He serves as an officer and director of the City Park Racquet Club, a non-profit organization that encourages participation in tennis by inner-city and other underserved communities and otherwise seeks to enhance those communities.
